Proofpoint agrees to acquire Varonis in a $6.3 billion cybersecurity transaction
Proofpoint and Varonis announced a definitive agreement under which Thoma Bravo-owned Proofpoint will acquire Nasdaq-listed Varonis in an all-cash transaction valued at approximately $6.3 billion. Varonis shareholders are set to receive $49.75 per share, subject to the agreement’s conditions and regulatory approvals. The companies say the combination will create a broader security platform spanning human and agent security, data protection, and defense against AI-accelerated threats. The transaction price represents a 52% premium to Varonis’s June 22 closing price before initial sale rumors and a 17% premium to its September 1 closing price before later reports. The announcement confirms the transaction terms but does not provide detailed integration, headcount, location, or product-consolidation plans. For candidates and employees, the acquisition is strategically significant because overlapping corporate functions and product roadmaps may be reviewed, while customer-facing and integration roles could gain importance as the combined company builds a unified offering.
